GENERAL TERMS

Important
Avata Inc ("Avata" or "the Company") provides products as described to you ("you" "your" or "customer") based on the following terms and conditions ("Terms and Conditions" or "Agreement"). If you purchase Avata products, you accept these terms and conditions. Please read them carefully. The company may, at its sole discretion, modify or revise these terms at any time by updating this web page. You are bound by such modification or revision and should therefore visit this page periodically to review the terms.

General Terms
The terms in this document apply to ALL purchases by phone, email, Internet, Web, catalog, and postal mail. Business days are Monday through Friday, excluding federal holidays and Avata holidays. Some of our products are shipped from our international locations. Overnight shipping is not available on products shipped from outside the United States. Please review the Product Availability section below for more information regarding order processing and product availability times.

 
PAYMENT AND AVAILABILITY POLICY

Payment Policy
Avata offers many payment methods and provides many services so that you can enjoy Avata computing products.

Paying with a Credit Card--
You may pay by credit card no matter which ordering method you use (Internet or phone). At the time your order is placed, billing occurs and Avata obtains approval from your card company for the amount of the order. Avata accepts Visa, MasterCard, American Express, and Discover cards.

PLEASE NOTE:
- We are unable to accept credit cards issued by banks outside of the United States on this website. For international orders, goto www.goavata.com and select country.
- Debit cards and check cards have daily spending limits that may substantially delay the processing of your order. In such a case, your order may be billed as little as $300 at a time, only every 24 hours, until the total is reached. Check with your bank for more information on this issue with debit cards, or use an alternate payment method.

Paying with Cashier's Check or Money Order--
Avata accepts cashier's checks and money orders as valid forms of payment. Personal or business checks are not accepted. If you wish to pay by cashier's check or money order, you may order by phone at 1-800-283-3404. The cashier's check or money order must be payable to Avata Inc and include your order number and/or a copy of your order recipt. Please mail your payment to the address that is given to you.

NOTE: Avata must receive your payment within ten (10) calendar days or your order will be canceled. Please allow up to three (3) business day for order processing after Avata receives your payment.

Wire Transfer--
Avata accepts bank wire transfers as a valid form of payment. If you would like to use a wire transfer to pay for your order, please call us toll free at 1-800-283-3404.

NOTE Processing time varies among banking institutions and can be delayed. Please allow one (1) business day for the processing of your wire transfer. We do not ship products until complete payment has been made for products ordered.

Other payment methods--
For information about alternate payment options please review the gift certificate, cashier's check, wire transfer, and lease options listed in the following sections.

Avata purchases will include sales tax based on your shipping address and the sales tax rate in effect at the time your order is placed. If you phone in your order, Avata sales representative will provide an estimated dollar total of your order including tax and any applicable shipping charges at the time you place your order. If the sales tax rate for the state to which your order is being shipped changes before the product is shipped, the rate in effect at the time your order was received in our system will apply. The proof of purchase that Avata mails to you will include any applicable sales tax.

If your order is being placed on behalf of a tax-exempt organization or individual, please call Avata Sales at 1-800-283-3404. Be prepared to provide proof of state tax-exempt status for the state where the product is being shipped. The organization or individual name on the order must exactly match the state tax-exempt certificate. Federal tax exemption certificates are not accepted.

Signature is required for delivery as most of our shipments contain valuable computer equipment. If you will not be at the shipping address to accept delivery of your product, consider shipping the item to an address where someone you trust will be available to sign for your package. Please note that we are not able to adjust the shipping address once a package has left Avata's warehouse. Title and risk of loss to all products will pass to you on delivery.

Undeliverable Packages: When the carrier returns an undeliverable package to us, please contact us to make arrangements for reshipment.

Failed Delivery Attempts: Most carriers make several attempts to deliver a package. After which the package will be returned to us. If this happens please call us at 1-800-283-3404 to arrange reshipment.

The estimated shipment date on your order is based on product availability, payment processing time, and warehouse processing time and does not include transit time. Payment processing will not begin until we receive all the information we need and full payment or a full authorization, in the case of credit card and lease orders.

Orders placed on the weekend or on a holiday will begin payment processing the next business day.

Orders for in-stock items that are eligible for same-day shipping must be received before 2:00 PM MT, pending payment processing. Orders placed on the weekend or on a holiday will begin payment processing the next business day. Unanticipated changes in supply can affect product availability. Please confirm the estimated shipping lead time at the "Review Your Order" page for the most current availability information.

Product Availability
At Avata, "Order lead time" is the length of time it will take us to validate your credit card, assemble the right products and package your order. "Shipping time" is the length of time it will take for the package to travel from our warehouse to your shipping address.

Avata makes every effort to ship your product according to the estimated lead times provided by Avata at checkout. The estimated lead times are in business days (Monday through Friday) excluding banking holidays. Lead times will begin the following business day for orders placed and credit cleared after 2:00 PM MT. Lead times quoted on the checkout page are for orders that are partially shipped - meaning items ship as soon as they are available. If you have requested a complete shipment, please add 3-4 additional days for transportation and order consolidation processing.

Although every effort is made to ship your order according to the lead time provided, shipping dates may change due to changes in supply. If the time changes, Avata will contact you via email and provide a revised shipping estimate.

We encourage you to contact Avata Sales at 1-800-283-3404 for order status information or visit www.goavata.com and click the "Manage Your Account" link to view the status of your order.

Given the popularity of some products, Avata may restrict the number of such items that you may purchase at any time. Any product limit restrictions will be posted on Avata web site. This information is subject to change.

Avata endeavors to stay at the forefront of technological advancement. For this reason, Avata reserves the right to discontinue products without notice.

 
AVATA RETURN POLICY

If you are not satisfied with your Avata purchase of a product, please contact us for a Return Material Authorization (RMA) request within 10 calendar days of the receipt of the product.

NOTICE: Configure-to-order, personalized or other customized product(s) may not be returned for refund or exchange under any circumstances unless DOA (see below).

If the item is returned unopened in the original box, we may exchange it or offer you a refund based on your original method of payment. The product must be returned to Avata warehouse within 14 calendar days of the issuance of the RMA. All products must be packed in the original, unmarked packaging including any accessories, manuals, documentation and registration that shipped with the product. A 10% open box fee will be assessed on any opened hardware or accessory. If you purchased your order using an Avata Business Lease, you may be asked to provide a major credit card (Visa, MasterCard, American Express, or Discover) for Avata to assess the 15% open box restocking fee.

Please note that Avata does NOT permit the return of or offer refunds for the following products:

1. Any product that is custom configured to your specifications
2. All AvataCare support products
3. All Avata training services
4. All Electronic software downloads
5. All Personal Media Products
6. All Avata Gift Cards
7. All Avata Developer Products (Membership and Support)

* You may return software after rejecting the licensing terms, provided the software is not installed on a computer. However, software that contains a printed software license may not be returned if the seal or sticker on the software media packaging is broken.

NOTE: Avata recommends that you (1) use a carrier that offers shipment tracking for all returns and (2) either insure your package for safe return to Avata or declare the full value of the shipment so that you are completely protected if the shipment is lost or damaged in transit. If you choose not to (1) use a carrier that offers tracking and (2) insure or declare the full value of the product, you will be responsible for any loss or damage to the product during shipping. Also please note that the United States Postal Service (USPS) offers limited tracking capabilities and that there is a 30-calendar-day waiting period before the USPS will initiate a trace.

Avata sells and ships products to end user customers only in the USA. You may not export any products purchased from Avata or resell them.

We are pleased to offer product that is custom-configured to your specifications, and we encourage you to review your order carefully. Since the product is built to your specifications, the order cannot be changed, modified, or canceled once your order is in production.

DOA Policy
Dead on Arrival (DOA) or "System Failure Out of the Box" is highly cuncommon, due to our testing policy, however an Avata-branded hardware product is considered DOA if it shows symptoms of a hardware failure, preventing basic operability, upon its *FIRST* use right out of the box. If you believe that your product is DOA, please call Avata at 1-800-GO-AVATA within 15 calendar days of the date of invoice. TuxCare Technical Support will determine whether the product is DOA and offer you the following options:

* Replacement:
The same product that you ordered will be shipped to you at Avata's expense. TuxCare Technical Support will put you in touch with a Avata Sales Support Representative to set up a replacement order and provide the procedure for returning the DOA product.

* Service:
You may have the product repaired; however, once serviced, the product is no longer eligible for replacement.

PRODUCT MUSE BE RETURNED TO AVATA WITHIN FIFTEEN (15) CALENDAR DAYS OF THE DATE OF INVOICE IN ORDER TO RECIEVE A REPLACEMENT UNIT.

* DOA Terms and Conditions
o This DOA policy applies only to Avata-branded hardware products currently offered at `GoAvata.com or Authorized Resellers (Avata Reseller ID No. required). As new products are offered, Avata reserves the right to determine whether or not this policy applies.
o This DOA policy does not apply to third-party products that do not bear Avata brand name. You may call the manufacturer directly with any third-party product issues.
o If the product is deemed DOA by TuxCare Technical Support more than 30 calendar days after the invoice date, Avata's standard product warranty will apply.
o If the product is deemed by TuxCare Technical Support NOT to be DOA, Avata's standard product warranty will apply.
o Shipping will be arranged at Avata's expense for all products determined by TuxCare Technical Support to be DOA.

NOTICE: Avata reserves the right to test returned DOA product. If the condition of the product is found to be in any way misrepresented by the customer, Avata may impose a $400+ handling fee.

Defective Items
For Avata Branded Products--
If you discover what you believe is a product defect for any Avata-branded product, please contact Avata at 1-800-283-3404. Such a defect, if any, is covered under the terms of your product's warranty. Please refer to the warranty information and other supporting documentation that came with your product. (See Product Warranty section below for specific information about Avata's product warranties.)

For Non-Avata Branded/Third-Party Products--
If you discover what you believe is a product defect for any third-party product, please contact the manufacturer directly for information regarding the manufacturer's warranty.

NOTE: Products sold through this web site that do not bear Avata brand name are serviced and supported exclusively by their manufacturers in accordance with terms and conditions packaged with the product. Avata's warranty does not apply to products that are not Avata-branded, even if packaged or sold with other Avata products.

 
PRODUCT WARRANTY

Product Warranty
All Avata-branded hardware products, including clearance and refurbished products, carry the standard Avata Warranty (AW), which is a Limited Warranty against defects in materials and workmanship for one year from the date of purchase. You may review a copy of the Avata Warranty on new products, including its limitations and exclusions, before you purchase, by clicking the appropriate link in the legal section of our website.

Non-Avata-branded/Third-party products are sold "AS IS" by Avata, but may be accompanied by their manufacturers' standard warranties. "AS IS" products are sold by Avata as is, where is, and with all faults, and without express or implied warranties from Avata. If you have questions about any manufacturers' warranties that accompany such products, please contact the manufacturer directly.

Note: Products sold through this Web site which do not bear Avata brand name are serviced and supported exclusively by their manufacturers in accordance with any terms and conditions packaged with the products unless otherwise stated. The Avata Warranty does not apply to products that are not Avata-branded, even if packaged or sold with Avata products, including support products, unless otherwise stated. Please contact the manufacturer directly for technical support and customer service.

Other Terms & Conditions
Avata is not responsible for typographical errors. Avata reserves the right to change the terms and conditions of this document at any time. All sales at Avata are governed by New Mexico law, without giving effect to its conflict of law provisions. No Avata employee or agent has the authority to vary any of Avata's policies or the terms, conditions or prices governing any sale.

Export Restrictions
Avata sells and ships products only within the continental United States, Alaska, and Hawaii. No shipments can be made to APO or FPO addresses, United States territories, or addresses outside the United States. You may not export any products purchased from Avata or resell them.

Your privacy is a priority at Avata, and we go to great lengths to protect it. This Customer Privacy Policy covers the collection, use, and disclosure of personal information that may be collected by Avata anytime you interact with Avata, such as when you visit this website, purchase Avata products and/or services, or when you call our employees. Information Collected by Avata

Why we collect personal information. We collect your personal information because it helps us deliver a superior level of customer service and technical assistance. It enables us to give you convenient access to our products and services and focus on categories of greatest interest to you. In addition, your personal information helps us keep you posted on the latest product announcements, software updates, special offers, and events that you might like to hear about.

The information we collect and how we may put it to use

When you interact with Avata, we may collect information relevant to the situation, such as your name, address, your credit card information and information about the products you own, including information relating to a support or service issue. To gain a better understanding of our customers and provider a higher quality of service, we may also collect information for market research purposes, such as your occupation and where you use your computer.

We also collect information regarding customer activities on our websites which helps us to determine how best to provide useful information to customers and to understand which parts of our websites, products, and services are of most interest to them. We may also use personal information for auditing, research, and analysis to improve Avata products and services.

To allow easy use of our web services, Avata allows you to create an account with your personal information, which is accessable with a valid email address and password. Your information is saved and the system and is linked to your email address, because it's unique and easy to remember. In addition, if you update the information associated with your account, it will be available for all your transactions with Avata.

If you use an Avata-sponsored bulletin board or chat room on an Avata website any information you share is visible to other users. Personally identifiable information you submit to one of these forums can be read, collected, or used by other individuals to send you unsolicited messages. Avata is not responsible for the personally identifiable information you choose to submit in these forums. For example, if you choose to make information, which was previously non-public, available by enabling certain user features, Avata will collect that information from your interaction and the information will become publicly available.

When we disclose the information

Avata takes your privacy very seriously and will not sell or rent your contact information to other marketers.

To help us provide superior service, your personal information may be shared with legal entities within the Avata group globally who will take steps to safeguard it in accordance with Avata's privacy policy.

When its to Avata's advantage to make certain personal information about you available to companies that Avata has a strategic relationship with or that perform work for Avata in order to facilitate a transaction or to provide products and services to you on our behalf. These organizations may help us process information, extend credit, fulfill customer orders, deliver products to you, manage and enhance customer data, provide customer service, assess your interest in our products and services, or conduct customer research or satisfaction surveys. These companies are also obligated to protect your personal information in accordance with Avata's policies, except if we inform you otherwise at the time of collection.

 

For example, when you purchase and activate a NetBook, you authorize Avata and its carrier to exchange the information that you provide during the activation process to carry out service. If you are approved for service, your account will be governed by Avata and its carrier’s respective privacy policies. Without such information being made available, it would be difficult for you to purchase products, have products delivered to you, receive customer service, provide us feedback to improve our products and services, or access certain services, offers, and content on the Avata website.

There may be times when we may be forced by law or litigation to disclose your personal information. We may also disclose information about you if we determine that for national security, law enforcement, or other issues of public importance, disclosure is necessary.

How we protect your personal information

Avata makes every effort to maintain the security of its network and the data we collect. We use state-of-the-art technology, including encryption, to ensure the highest security standards. Any data that is stored on Avata'ss servers is treated as licensed and confidential and is not available to the public. Avata has a strict internal security policy with respect to the confidentiality of customer and other data, limiting access only to those employees who have a need to know such information for the purpose of effectively delivering Avata products and services. Please keep in mind, however, that the Internet is not a 100% secure medium. Therefore, although we use industry standards to protect information, the possibility of somebody defeating our security measures does exist.

Consumer Choice

Non-Personally Identifiable Consumer Data - Use of Cookies & Opting-Out
Avata uses technology, including cookies and 1x1 pixels, to deliver better, targeted marketing messages to the web surfer. These tools are used to collect anonymous data, and in some instances where personally-identifiable information has been provided by a user, to provide better and more relevant services and messages to that user. We believe that the use of such tools assists in providing a more meaningful web surfing experience, but you may opt-out of their use if you would like. To do so, you can either disable cookies on your browser, or go to the opt-out section at this site.

Personally Identifiable Consumer Data - Opt-Out
If a consumer elects to provide Avata with personally-identifiable data, he or she has the right to tell us not to make some of the uses of such data described herein or may have such data deleted in its entirety at any time. Simply email us at support@goavata.com and let us know what level of opt-out you would like to exercise. These include: (1) Do not share information about me with business partners, (2) Do not solicit me with special offers other than those related to the service I signed up for, or (3) Remove my data from you database for such service completely. Once we receive this instruction, we will promptly take corrective action. Please note that we will need you to provide your email address or other previously provided personal identifier in order to identify you in the Data Opt-Out process. Also, please remember that if you choose to delete your information completely you will no longer receive the Avata service in question.

Access To Data
Avata allows consumers who have voluntarily provided personally-identifiable data, access to their data to ensure that it is correct and to make any changes. Please contact us at support@goavata.com.

Children's Privacy
Avata is very sensitive to the issue of children's privacy and makes every effort to protect the privacy of children surfing the web. Avata'ss web sites, products, and services are neither developed for, nor directed at, children. If you believe your child has provided Avata with personally-identifiable data, or registered at one of Avata'ss web sites, and you would like to have the data removed, please contact support@goavata.com.

Indemnity
You agree to defend, indemnify, and hold harmless Avata, its officers, directors, employees, and agents, from and against any claims, actions and demands, including without limitation any legal and accounting fees alleging or resulting from your use of the site or your breach of this agreement. Avata shall provide notice to you promptly of any such claim, suit or proceeding.

Applicable Law
By visiting the Site, you agree that the laws of the State of New Mexico, without regard to principles of conflict of laws, will govern these Conditions of Use and any dispute of any sort that might arise between you and Avata or its affiliates.

Disputes
Any dispute relating in any way to your visit to the Site or to products you purchase through Avata shall be submitted to confidential arbitration in Albuquerque, NM USA, except that, to the extent you have in any manner violated or threatened to violate Avata's intellectual property rights, Avata may seek injunctive or other appropriate relief in any state or federal court in the State of New Mexico, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

Site Policies, Modification, and Severability
Please review our other policies posted on the Site. These policies also govern your visit to the Site and others. We reserve the right to make changes to our site, policies, and these Conditions of Use at any time. You represent that you are not one of the individuals, and are not affiliated with entities, on the Bureau of Export's Denied Persons/Entities Lists. If at anytime you are added to these lists you agree to immediate termination of your account.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
THE SITE IS PROVIDED BY AVATA INC.. ON AN "AS IS" AND "AS AVAILABLE" BASIS.
